Terms of Service

Please read these Terms of Service carefully before using Aro POS. By accessing or using our platform, you agree to be bound by these terms.

1. Agreement to Terms

By accessing or using the Aro POS platform (“the Service”), you agree to be bound by these Terms of Service (“Terms”). These Terms form a legally binding agreement between you (the “Customer”) and Brelto (“we,” “us,” or “Brelto”).

If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms. If you do not agree with any part of these Terms, do not use the Service.

2. Service Description

Aro POS is a cloud-based point-of-sale and inventory management platform designed for retail businesses operating in Ghana. The Service includes:

  • Point-of-sale transaction processing with offline capability
  • Multi-branch inventory and stock management
  • Sales analytics and reporting dashboards
  • Staff account management with role-based access control
  • Customer credit account tracking
  • Session management and end-of-day reconciliation
  • Data backup and export functionality

The Service is provided by Brelto, a Ghana-based software company. We reserve the right to modify, suspend, or discontinue any feature with reasonable notice to Customers.

3. Subscription Plans & Fees

Aro POS is offered on three subscription tiers, billed in Ghana Cedis (GHS):

A one-time setup fee applies to all new accounts. This fee covers on-site configuration, product import, user setup, receipt design, and staff training. Setup fees vary by plan and number of branches (see our Pricing page for details).

Monthly plans auto-renew monthly. Annual plans auto-renew annually unless cancelled before the renewal date. You will be notified before each renewal.

4. Applicable Taxes

All subscription fees and one-time setup fees quoted are exclusive of applicable taxes. The following taxes apply as required by the Ghana Revenue Authority (GRA) on digital services:

  • Value Added Tax (VAT): 15%
  • National Health Insurance Levy (NHIL): 2.5%
  • GetFund Levy: 2.5%

These levies total an effective tax rate of 20% on taxable services. Withholding Tax (WHT) may also apply where required under Ghanaian law. All applicable tax amounts will be clearly itemised on every invoice issued to you.

If you are a VAT-registered business, you may be entitled to claim input VAT credits in accordance with GRA regulations. Brelto provides Tax Identification Number (TIN) information on all invoices to facilitate this.

5. Payment Terms

Payment is accepted via MTN Mobile Money, Telecel Cash, bank transfer, or cash (in-person during setup). All amounts are in Ghana Cedis (GHS).

Subscriptions are due at the start of each billing period. A 7-day grace period applies to overdue payments:

  • Days 1–7: Full access maintained. Email reminders sent on days 1, 3, and 7.
  • After day 7: Account suspended (read-only access). Sales processing is paused.
  • Reactivation: Settle the outstanding balance at any time. No reactivation fees.

There are no penalties for late payment beyond the suspension described above. We do not charge interest on overdue balances.

6. Free Trial

New Customers receive a 14-day free trial of Business plan features. No payment method is required to start a trial. The trial period begins on your account's go-live date — the day we complete your setup and hand you a working system — not on the date your account is created.

All data created during the trial is fully retained when you subscribe. If you choose not to subscribe at the end of your trial, your account will be suspended and data retained per our data retention policy (Section 8).

We reserve the right to modify or discontinue the free trial offer at any time with reasonable notice. Accounts found abusing the trial (e.g., repeatedly creating new accounts to extend free access) may be suspended.

7. Cancellation & Termination

By you: You may cancel your subscription at any time by contacting us via WhatsApp. Cancellation takes effect at the end of your current paid billing period — you are not charged again after cancellation, and access continues until the period ends. Before your account closes, we provide a complete export of all your data.

By us: We may terminate your access for material breach of these Terms (including non-payment beyond the grace period, or violation of the Acceptable Use policy) after providing 30 days' notice where practical. In cases of severe violation (e.g., illegal activity), immediate termination may apply.

Upon termination, data retention follows the schedule in Section 8. Setup fees are non-refundable once the on-site setup visit has been completed.

8. Data Retention

Customer data is retained according to the following account lifecycle:

  • Active: Full access to all data.
  • Grace period (days 1–7): Full access maintained.
  • Suspended (after day 7): Read-only access. Data preserved in full for as long as the account stays suspended — there is no automatic time limit or further escalation.
  • Deletion: We never delete an account or its data automatically, no matter how long it stays suspended. Deletion only ever happens at your explicit request (or ours, with 30 days' notice, per Section 7).

We strongly recommend exporting your data before cancelling. We provide full data exports at any time on request, at no charge, for active accounts.

9. Acceptable Use

You agree not to misuse the Aro POS platform. Prohibited activities include:

  • Attempting to access systems, data, or accounts beyond your authorised scope
  • Reverse engineering, decompiling, or disassembling any part of the platform
  • Using the platform to process transactions for illegal goods or services under Ghanaian law
  • Interfering with or disrupting the platform's infrastructure or other Customers' access
  • Providing false or misleading registration information
  • Sharing account credentials with individuals outside your organisation
  • Uploading or transmitting malicious code, viruses, or harmful data

Violation of this policy may result in immediate suspension or termination of your account.

10. Intellectual Property

Aro POS, including its software code, user interface, design, branding, and documentation, is the intellectual property of Brelto. All rights are reserved. You are granted a limited, non-exclusive, non-transferable licence to use the Service during your subscription period for your internal business purposes only.

Your data belongs to you. All business data you enter into Aro POS — your products, transactions, customer records, and settings — remains your property. We do not claim ownership of your data and will not use it for any purpose other than operating the Service for you.

11. Limitation of Liability

To the maximum extent permitted by Ghanaian law, Brelto's total liability to you for any claim arising from or related to the Service is limited to the total fees you have paid to us in the three months immediately preceding the event giving rise to the claim.

We are not liable for: indirect, incidental, or consequential damages; loss of profit or business opportunity; data loss resulting from your failure to export data before account deletion; or interruptions caused by events outside our reasonable control (force majeure), including power failures, telecommunications outages, or natural disasters.

We do not warrant that the Service will be uninterrupted or error-free. We will make commercially reasonable efforts to maintain uptime and promptly address issues that arise.

12. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Ghana. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana.

Before initiating formal legal proceedings, you agree to attempt resolution through direct discussion with us via WhatsApp or email. We are committed to resolving disputes promptly and fairly.
